Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Mogomotsi Hawk Dingalo, a sole proprietor trading as "InvoiceDistrict" ("InvoiceDistrict", "we", "us"), the operator of the InvoiceDistrict service. By creating an account or otherwise using InvoiceDistrict you agree to these Terms and confirm that you are of legal age to enter into a binding contract. If you are using the service on behalf of an organisation, you confirm you have authority to bind that organisation.

The service

InvoiceDistrict is a SaaS tool that helps freelancers and small businesses follow up on unpaid invoices through automated, approval-first reminder cadences (email and SMS) and related lightweight invoicing utilities. InvoiceDistrict is not a debt collection agency, a payment processor, a lender, a financial adviser, a tax adviser, or a legal adviser, and nothing in the service constitutes financial, tax, accounting, or legal advice. You are solely responsible for the accuracy of the data you enter, for your underlying commercial relationship with your clients, and for ensuring your reminders comply with applicable communication, debt-collection, anti-spam, telemarketing and data-protection laws in your jurisdiction and your recipients' jurisdiction.

Accounts

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

Acceptable use

Your use of InvoiceDistrict is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Without limiting that policy, you must not use the service to:

  • send unlawful, fraudulent, deceptive, harassing, threatening, defamatory or spam communications;
  • collect, attempt to collect, or threaten collection on debts that are not legitimately owed to you;
  • violate any applicable debt-collection, consumer-protection, anti-spam, telemarketing, e-privacy or data-protection law (including the FDCPA, TCPA, CAN-SPAM, CASL, GDPR, UK GDPR, PECR and equivalent laws);
  • infringe any third party's intellectual-property, privacy or publicity rights;
  • probe, scan, reverse engineer, or interfere with the security or integrity of the service, introduce malware, or attempt to gain unauthorised access;
  • scrape, mass-export, resell or redistribute the service or its outputs;
  • operate in any of the high-risk or prohibited categories listed in our Acceptable Use Policy.

We may suspend or terminate access immediately for material breach, non-payment, security or fraud risk, chargeback abuse, or repeated or serious violations of these Terms or the Acceptable Use Policy.

Intellectual property

InvoiceDistrict, including the underlying software, design, branding and documentation, is owned by Mogomotsi Hawk Dingalo and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the service in accordance with your plan. You must not reverse engineer, decompile, resell, redistribute, or circumvent the technical limits of the service. You retain all rights to the invoice and client data you upload; you grant us a limited, worldwide licence to host, process and transmit that content solely to provide the service to you.

AI features

InvoiceDistrict includes optional AI-assisted features (for example, draft suggestions for reminder copy and tone adjustments). AI outputs are generated automatically, may be inaccurate or incomplete, are not financial, legal or tax advice, and must be reviewed and approved by you before they are sent. You are solely responsible for your prompts and for verifying outputs before relying on them. You must not use the AI features to generate unlawful, infringing, harassing, sexual, hateful, deceptive or fraudulent content, or to attempt to jailbreak or circumvent the underlying models. We may filter, restrict, or remove AI outputs, refuse to process prompts, and suspend accounts that misuse the AI features.

Payments and subscriptions

Payments for InvoiceDistrict subscriptions are processed by PayPal. Subscription fees, billing frequency, renewals, cancellations, chargebacks and refunds are governed by PayPal's User Agreement and our Refund Policy, which apply alongside these Terms. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your billing settings or directly in your PayPal account; access continues until the end of the current paid period.

Financial information disclaimer

The dashboards, totals, recovery estimates, calculators and reports in InvoiceDistrict are provided for general informational purposes only and are based on the data you provide. They are not bookkeeping records of account, are not audited, and do not constitute financial, accounting, tax or investment advice or a recommendation to take any action. You should consult your own accountant or adviser before making business decisions based on outputs from the service.

Liability

InvoiceDistrict is provided "as is" and we do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, we disclaim all implied warranties (including merchantability and fitness for a particular purpose). Our aggregate liability to you is capped at the fees you paid in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury where required by law.

Indemnity

You agree to indemnify and hold harmless Mogomotsi Hawk Dingalo and InvoiceDistrict from any claim, loss, damage or expense (including reasonable legal fees) arising out of content you upload or send through the service, your breach of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right.

Changes

We may update these terms from time to time. Material changes will be announced in-app or by email.

Governing law

These Terms are governed by the laws of the Republic of South Africa, where the seller is resident. You and Mogomotsi Hawk Dingalo agree to the exclusive jurisdiction of the competent courts of South Africa for any dispute arising out of or relating to these Terms, without prejudice to any mandatory consumer-protection rights you have in your country of residence.
